Sanlam Kenya to Rebrand as Sanlam Allianz Holdings Pending Shareholder Approval

Sanlam Kenya PLC has announced that it will hold an Extraordinary General Meeting (EGM) of shareholders on October 9, 2025, at 11:00 a.m. via electronic communication, with the main agenda being the proposed change of the company’s name to Sanlam Allianz Holdings (Kenya) PLC.

The name change reflects the deepening integration of Sanlam’s operations in Kenya with the Sanlam–Allianz strategic partnership, which was formalized in 2022 and created one of the largest non-banking financial services groups in Africa. The partnership has since been rolling out across multiple African markets, combining Sanlam’s strong presence with Allianz’s global expertise in insurance and asset management.


Agenda of the Meeting

Shareholders will consider and vote on a Special Resolution to effect the name change, with the new name becoming effective from the date specified in the Certificate of Change of Name issued by the Registrar of Companies.

Other standard items on the agenda include:

  1. Reading the notice convening the meeting.
  2. Tabling proxies and confirming quorum.
  3. Addressing any other business for which due notice has been given.

Why the Name Change Matters

The rebranding is expected to:

  • Align Kenya’s operations with the global Sanlam–Allianz partnership, enhancing brand recognition across Africa.
  • Boost customer confidence by linking Sanlam Kenya more strongly to Allianz, one of the world’s largest insurers.

The move follows similar steps in other African markets where Sanlam entities are being rebranded to Sanlam Allianz, reflecting the joint venture’s strategy to operate under a harmonized identity.


How Shareholders Can Participate

Sanlam Kenya has made provisions for electronic participation in the meeting, with registration opening on September 16, 2025, at 9:00 a.m. and closing on October 8, 2025, at 5:00 p.m. Shareholders can register by:

  • Dialing *483*902# on any Kenyan mobile network.
  • Sending an email to sanlamegm@image.co.ke.
  • Using the registration link that will be emailed to those with registered email addresses.

Proxy forms must be submitted by October 7, 2025, at 11:00 a.m., either electronically or physically at the offices of Image Registrars, Absa Towers, Nairobi.

The EGM will be livestreamed, and registered shareholders and proxies will be able to ask questions, vote, and follow proceedings via the provided digital platform.


Context: Sanlam–Allianz Partnership in Africa

  • In 2022, Sanlam, Africa’s largest non-banking financial services group, and Allianz, one of the world’s leading insurers, announced a joint venture covering 29 African markets.
  • The partnership combined Sanlam’s deep local knowledge with Allianz’s global expertise, targeting growth in life insurance, general insurance, health, and asset management.
  • In Kenya, the partnership is expected to accelerate innovation, introduce new products, and enhance financial inclusion.

If approved, the name change to Sanlam Allianz Holdings (Kenya) PLC will formally embed Kenya into the broader Africa-wide rebrand, symbolizing a stronger Pan-African and global presence in the insurance and financial services market.

The results of the EGM will be published on Sanlam Kenya’s website within 24 hours of the meeting.
